CoolWork Terms of Service

Important notice: These Terms of Service (these "Terms") constitute the agreement between you and Hainan Yidaosan ("we", "us") governing your use of the CoolWork products and services (the "Services"). By checking "I agree" on the registration page or otherwise actually using the Services, you acknowledge that you have read, understood, and agreed to be bound by all provisions of these Terms. If you do not agree to all or any part of these Terms, please do not register for or use the Services.

1. General

1.1 The Services refer to the AI office software CoolWork and related cloud services developed and operated by us, including but not limited to AI-assisted documents, spreadsheets, slides, PDF and Markdown editing and conversion, AI agents, web search, and media downloading and transcription, as actually provided by the product.

1.2 We may modify these Terms as the product evolves. Modified Terms will be published on this page. Your continued use of the Services after modification constitutes acceptance of the modified Terms; we will notify you in advance of material changes through in-app notices or similar means.

2. Account Registration and Management

2.1 You must register an account with a real, valid email address and set a password. During the beta period, registration may require an invite code.

2.2 You are responsible for safeguarding your account and password. Losses arising from your voluntary disclosure, improper safekeeping, or third-party attacks are borne by you. Notify us immediately if you discover unauthorized use of your account.

2.3 An account is limited to a single user and may not be lent, transferred, shared, or sold.

2.4 By registering, you agree to the CoolWork Privacy Policy and understand how we collect and process your information.

3. Services

3.1 The Services provide AI-centric capabilities for generating, editing, converting, and analyzing documents, spreadsheets, slides, and other content. Specific features, models, and availability are as actually provided by the product.

3.2 We continuously improve the Services and may test new features, adjust their rollout scope, or upgrade, modify, or discontinue certain features.

4. Credits and Payments

4.1 Using the AI capabilities of the Services consumes credits. Upon registration you receive a complimentary credit grant, which is a one-time trial allowance and is not periodically replenished.

4.2 You may purchase credits or other usage allowances (such as conversion counts or transcription hours). Allowance wallets are independent of one another and cannot be used interchangeably.

4.3 Balances from one-time wallet top-ups are valid for 12 months from the date of purchase; unused amounts expire thereafter. Entitlements included in a subscription plan are granted and expire with the corresponding subscription period and are not subject to this section.

4.4 Usage and billing are determined by our server-side metering records. If you dispute a metering result, you may contact us per Section 9.4 for reconciliation.

4.5 Unless otherwise required by applicable law, consumed credits are non-refundable; complimentary trial credits carry no cash value and are non-transferable and non-exchangeable.

5. AI-Generated Content

5.1 The Services generate content using artificial intelligence technology. AI-generated content may contain errors, omissions, outdated or inaccurate information. You are responsible for verifying its accuracy, completeness, and suitability, and for deciding whether to adopt it. We are not liable for any decisions you make or actions you take based on AI-generated content.

5.2 Content you input into the Services (such as instructions and materials) and the results you generate belong to you or your lawful rights holders. When using generated results, you must comply with applicable law and respect third-party rights.

5.3 To provide and improve the Services, you grant us the right to process such content to the extent necessary (including storage, retention, and analysis), as described in the CoolWork Privacy Policy.

6. User Conduct

6.1 You agree not to use the Services to:

endanger national security, disclose state secrets, subvert state power, or undermine national unity;
create or disseminate obscene, violent, terrorist, gambling, discriminatory, or otherwise illegal information;
infringe the intellectual property, trade secrets, privacy, or other lawful rights of others (including us and third parties);
attack or interfere with the Services, or conduct reverse engineering, scraping, bulk registration, or automated calls beyond normal use;
use the Services to develop products or services that directly compete with them, or resell the Services;
engage in any other conduct that violates laws, regulations, public order, or the normal operation of the Services.

6.2 If you breach the foregoing, we may issue warnings, restrict features, suspend or terminate the Services, and reserve the right to pursue legal remedies.

7. Changes, Suspension, and Termination of the Services

7.1 We may change, suspend, or terminate all or part of the Services for reasons including business adjustments, technical upgrades, or legal requirements, and will endeavor to notify you in advance.

7.2 You may stop using the Services and delete your account at any time. Upon account deletion, we will delete or anonymize your personal information in accordance with the CoolWork Privacy Policy, except where retention is required by law.

8. Disclaimers and Limitation of Liability

8.1 The Services are provided on an "as is" and "as available" basis. We make no express or implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

8.2 We are not liable for service interruption or data loss caused by force majeure, telecommunications failures, computer viruses, hacker attacks, system maintenance, or third-party causes, but will use reasonable efforts to mitigate the impact on you.

8.3 To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from these Terms or the use of the Services; our total liability shall not exceed the total fees you actually paid for the Services.

9. Governing Law and Dispute Resolution

9.1 These Terms are governed by the laws of the People's Republic of China.

9.2 Any dispute arising out of or relating to these Terms shall first be resolved through friendly negotiation; failing that, either party may bring a lawsuit before the people's court with jurisdiction at the location of the operator.

9.3 If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect.
